Terms of Sale
These Terms of Sale (“Terms”) govern every purchase of products (“Materials”) from Halo Peptides (“Seller,” “we,” “us”) through this website or related sales channels. By placing an order, you (“Buyer,” “you”) agree to these Terms and to our Research Use Statement. If you do not agree, do not purchase.
1. Research use only — no medical or veterinary use
All Materials are sold strictly for research use only (RUO) in qualified in vitro or laboratory research settings. Materials are not approved by the FDA or any regulatory authority for human or veterinary use, diagnosis, treatment, cure, or prevention of disease. Seller makes no representation that Materials are safe or effective for any non-research purpose.
2. Buyer representations and certifications
By purchasing, you represent and warrant that: (a) you are at least 18 years of age; (b) you are purchasing for legitimate scientific or laboratory research, not for personal, household, clinical, diagnostic, therapeutic, or veterinary application; (c) you possess the training, facilities, and authority required to handle research chemicals safely and lawfully; (d) your use will comply with all applicable federal, state, local, and institutional laws, including import/export controls; and (e) if purchasing on behalf of an organization, you are authorized to bind that organization.
3. No medical advice
Site content, product descriptions, and communications are for identification and laboratory reference only. They do not constitute medical, veterinary, regulatory, or legal advice. Nothing creates a professional services relationship.
4. Orders, acceptance, and refusal
All orders are subject to acceptance, identity verification, and compliance review. Seller may refuse, cancel, or limit quantities where an order appears inconsistent with RUO requirements, export controls, or fraud risk. Risk of loss passes per the shipping terms stated at checkout.
5. Returns
Research Materials are generally non-returnable after shipment due to chain-of-custody and safety requirements, except where required by applicable law or as stated in our Returns policy. Quality or shipping claims must be reported promptly with order reference and supporting documentation.
6. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATERIALS AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SELLER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SELLER DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. SELLER’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM A SPECIFIC ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID FOR MATERIALS IN THAT ORDER.
8. Indemnification
You agree to defend, indemnify, and hold harmless Seller from claims, damages, penalties, and expenses (including reasonable attorneys’ fees) arising from your misuse of Materials, breach of these Terms, or violation of law.
9. Binding arbitration and class-action waiver
EXCEPT FOR QUALIFYING MATTERS IN SMALL-CLAIMS COURT OR INJUNCTIVE RELIEF FOR INTELLECTUAL PROPERTY, ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR AN ORDER SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER THE CONSUMER ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), OR JAMS IF AAA IS UNAVAILABLE. THE ARBITRATOR MAY AWARD THE SAME RELIEF AS A COURT. YOU AND SELLER WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Either party may bring an individual action in small-claims court in the county of your billing address or Seller’s principal place of business.
10. Governing law
These Terms are governed by the laws of the United States and the state in which the Seller maintains its principal place of business, without regard to conflict-of-law rules, except where mandatory consumer protections of your state of residence apply and cannot be waived.
11. Changes
Seller may update these Terms by posting a new version with an updated effective date. Material changes apply to orders placed after posting. Your continued purchases after notice constitute acceptance of the updated Terms.
12. Severability and entire agreement
If any provision is held unenforceable, the remainder stays in effect. For purchases, these Terms together with the Research Use Statement, Privacy Policy, and checkout attestations form the agreement between you and Seller regarding that order.
